Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SOAPless ("SOAPless," "we," "us," or "our"), governing your access to and use of the SOAPless platform, including our website, APIs, dashboard, documentation, and all related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use the Service.
2. Service Description
SOAPless is a software-as-a-service platform that converts SOAP/WSDL web services into REST JSON APIs. The Service parses WSDL definitions, generates REST endpoints, and proxies requests to upstream SOAP services, converting XML responses to JSON format.
SOAPless does not host, modify, or store the underlying SOAP services. We act as an intermediary proxy that translates protocols and data formats on your behalf.
3. Account Requirements
To use the Service, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction;
- Provide accurate, complete, and current registration information;
- Maintain the security of your account credentials and API keys;
- Promptly notify us of any unauthorized use of your account;
- Accept responsibility for all activities that occur under your account.
You may not share your account credentials with third parties. Each individual user must have their own account. You may create multiple API keys for different applications or environments within a single account.
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights;
- Proxy SOAP services to which you do not have authorized access;
- Transmit malicious code, viruses, or any harmful content through the Service;
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems;
- Reverse-engineer, decompile, or disassemble any aspect of the Service;
- Resell, sublicense, or redistribute the Service without our prior written consent;
- Exceed your plan's usage limits through circumvention or abuse;
- Use the Service for competitive analysis or to build a competing product.
We reserve the right to suspend or terminate accounts that violate this policy, with or without prior notice depending on the severity of the violation.
5. Payment Terms
SOAPless offers both free and paid subscription plans. Paid plans are billed monthly or annually in advance via Stripe, our third-party payment processor. All fees are quoted in United States Dollars (USD) and are exclusive of applicable taxes.
5.1 Auto-Renewal
Paid subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled prior to the renewal date. You authorize us to charge the payment method on file for each renewal period at the then-current rate.
5.2 Cancellation
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. Plan changes and cancellations are processed through Stripe-hosted billing flows, and any proration, credit, or timing effects are governed by the billing configuration in effect at the time of the change. Unless required by law, SOAPless does not provide separate manual cash refunds for partial billing periods.
5.3 Usage Limits and Overage
On the Free plan, API calls exceeding your monthly limit are rejected with an HTTP 429 status code. On paid plans (Starter and Pro), additional calls beyond your monthly included limit are billed as overage at $0.01 per call via metered billing. You can monitor your usage from the dashboard at any time.
5.4 Price Changes
We reserve the right to modify pricing with at least 30 days' written notice. Price changes will not affect your current billing period and will take effect at the next renewal.
6. Data Handling
We take the security and privacy of your data seriously. The following outlines how we handle data in the context of the Service:
- SOAP Credentials: Any credentials you provide for upstream SOAP service authentication are encrypted using AES-256-GCM at rest. Credentials are decrypted only at the moment of proxying a request and are never stored in plaintext.
- No Body Logging: SOAPless does not log, store, or retain the request bodies or response bodies of your API calls. Only metadata such as timestamp, status code, latency, and byte counts are recorded for analytics purposes.
- WSDL Schemas: We store a parsed representation of your WSDL definitions to generate REST endpoints and documentation. This data is associated with your account and deleted when you remove the service.
- API Key Hashing: API keys are hashed using SHA-256 before storage. The full API key is displayed only once at creation time.

7. Intellectual Property
SOAPless retains all rights, title, and interest in and to the Service, including all software, technology, designs, trademarks, and documentation. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service in accordance with these Terms.
You retain all rights to your data, WSDL definitions, and upstream SOAP services. You grant SOAPless a limited license to process your data solely for the purpose of providing the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOAPLESS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL SOAPLESS'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO SOAPLESS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR FREE PLAN USERS, THE MAXIMUM LIABILITY SHALL NOT EXCEED 10,000 JAPANESE YEN (OR ITS EQUIVALENT IN USD).
SOAPless does not guarantee the availability, accuracy, or reliability of upstream SOAP services. We are not responsible for errors, downtime, or data loss caused by third-party SOAP services you connect to the platform.
9. Indemnification
You agree to indemnify, defend, and hold harmless SOAPless and its operator from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any applicable law or third-party rights;
- The content or data you transmit through the Service;
- Unauthorized access to upstream SOAP services facilitated through your account.
10. Service Availability and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SOAPless does not warrant that the Service will be uninterrupted, error-free, or secure. We strive to maintain high availability but do not guarantee specific uptime percentages at this time.
11. Termination
Either party may terminate this agreement at any time. You may terminate by deleting your account from the dashboard. We may terminate or suspend your access immediately if you breach these Terms.
Upon termination, your right to use the Service ceases immediately. Your account data, including stored WSDL schemas, encrypted credentials, API keys, and usage logs, is deleted immediately. Any active Stripe subscriptions are canceled or scheduled for cancellation according to the applicable Stripe flow and our then-current billing settings. Billing adjustments, if any, are handled through Stripe and our Refund Policy.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law provisions.
Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' written notice of material changes via email to the address associated with your account and by posting the updated Terms on our website.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account before the changes take effect.
